Welcome to Hanux Learning. These Terms of Service (“Terms,” “Agreement”) form a legally binding agreement between you (“User,” “you,” “your”) and Hanux Learning (“Hanux,” “we,” “us,” or “our”), comprising Hanux Learning Private Limited (India) and Hanux Learning LLC (USA).

By accessing our Website, registering an account, purchasing any program, enrolling in training, downloading materials, or otherwise using any of our Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS, REGISTER ON, PURCHASE FROM, OR USE OUR SERVICES.

1. About Hanux Learning

Hanux Learning provides professional training, certification preparation, career development assistance, coaching, consulting, and related educational services for individuals and organizations worldwide. All services are delivered through online, virtual, instructor-led, self-paced, or blended learning formats.

Operating Entities

  • Hanux Learning Private Limited — CIN: U85500DL2025PTC450795, incorporated in Delhi, India.
  • Hanux Learning LLC — incorporated in the State of Wyoming, United States of America.

2. Definitions

  • “Services” means any product, course, program, certification training, coaching, consulting, or content offered by Hanux Learning.
  • “Website” means www.hanux.org, its subdomains, and any current or future mobile applications operated by Hanux Learning.
  • “User” or “Learner” means any individual or entity who accesses or uses our Services.
  • “Content” means all text, video, audio, images, documents, assessments, code, and other materials made available through our Services.
  • “Account” means the registered user profile created on our Website or LMS.

3. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 (eighteen) years of age. Hanux Learning Services are not intended for individuals under 18 under any circumstances. Parental or guardian consent is not accepted as a substitute for the minimum-age requirement.
  • You have the legal capacity and authority to enter into a binding agreement under applicable law.
  • All information you provide during registration, enrollment, or payment is accurate, current, and complete.
  • You are not barred from receiving the Services under the laws of your jurisdiction or any other applicable jurisdiction.
  • If you are accessing the Services on behalf of an employer or organization, you have the authority to bind that organization to these Terms.

4. Account Registration and Security

To access most Services, you must register an Account. You are responsible for:

  • Providing accurate, current, and complete registration information.
  • Maintaining the confidentiality of your password and account credentials.
  • All activities that occur under your Account, whether or not authorized by you.
  • Promptly notifying us at security@hanux.org of any unauthorized access, suspected breach, or compromise of your Account.

Account Sharing Prohibited: Your Account is personal, non-transferable, and may not be shared with, sold to, or accessed by any other individual. Unauthorized account sharing may result in immediate suspension or termination without refund.

Multi-Factor Authentication: Where supported, we strongly recommend enabling multi-factor authentication (MFA) on your Account.

5. Services Offered

Hanux Learning may provide the following Services, subject to availability and the specific package you have purchased:

  • Professional certification training programs.
  • Exam preparation assistance and practice tests.
  • Application submission guidance.
  • Career coaching and mentorship.
  • Resume and LinkedIn profile optimization assistance.
  • Interview preparation guidance.
  • Corporate and enterprise training programs.
  • Learning resources, study materials, and recorded sessions.
  • Job search and professional profile marketing assistance.

The exact scope, duration, format, and deliverables of each Service are limited to the specific package or program you purchase, as described at the time of enrollment.

6. Enrollment, Payments, and Currency

All fees are quoted in the applicable currency at the time of purchase (INR for India transactions, USD for USA transactions, or other currencies as indicated).

By making a payment, you agree that:

  • Fees are charged for educational and consulting services rendered by Hanux Learning.
  • Prices may change without prior notice; the price applicable to your purchase is the one displayed at the time of checkout.
  • Applicable taxes, GST, VAT, duties, or local charges may apply depending on your billing location and will be added at checkout.
  • Payment plans, installment arrangements, and financing options (where offered) are subject to approval by the respective payment provider and may include additional terms.
  • All payments are processed through secure third-party gateways (Razorpay for India; PayPal for international transactions). Hanux Learning does not store your card details.

Failed or Reversed Payments: If your payment fails, is reversed, or charged back without valid grounds, we reserve the right to suspend your access to the Services until the matter is resolved. Repeated chargeback abuse may result in permanent termination of your Account.

7. Refund Policy

Due to the digital and time-sensitive nature of our Services, Hanux Learning operates a strict no-refund policy for cancellations initiated by the User.

Pre-commencement cancellations are governed by the tiered structure set out in our Refund & Cancellation Policy.

7.1 Refunds Will NOT Be Granted For:

  • Change of mind, lack of time, or change of personal circumstances.
  • Failure to attend scheduled training sessions.
  • Failure to complete coursework or assessments within the program timeline.
  • Failure to pass any certification or qualifying examination.
  • Denial of reimbursement by your employer or sponsor.
  • Changes in certification requirements by external certification bodies.
  • Dissatisfaction with the pace, format, or instructor of the program after enrollment.
  • Cancellation requests submitted by the User after access to course materials has been granted.

7.2 Full Refunds (100%) Will Be Granted Only When:

Hanux Learning fails to deliver the purchased Services. Where Hanux Learning is unable to deliver the Service you have paid for — due to program cancellation by Hanux, persistent technical failure attributable to Hanux, or non-commencement of the program within the timeline communicated at enrollment — you shall be entitled to a full refund of the amount paid.

7.3 Refunds for Duplicate or Erroneous Payments

In the case of a duplicate payment or a verifiable billing error, the excess or erroneous amount will be refunded after deducting any applicable transaction or processing fees charged by the payment gateway.

7.4 Refund Processing

Approved refunds will be processed within 7–14 business days from the date of approval and will be credited to the original mode of payment. Hanux Learning is not responsible for delays caused by banks, card networks, or payment gateway providers.

7.5 Chargebacks

Initiating a chargeback or payment dispute without first contacting Hanux Learning at support@hanux.org and allowing a reasonable opportunity to resolve the matter constitutes a material breach of these Terms and may result in immediate termination of your Account and forfeiture of access to all purchased Services.

8. Promotional Codes and Discounts

From time to time, Hanux Learning may offer promotional codes, coupons, or discounts. Unless otherwise stated:

  • Promotional codes are valid for a limited time only and may be revoked at any time without notice.
  • Each code may have specific terms, eligible programs, and usage limits.
  • Promotional codes have no cash value and cannot be combined with other offers unless expressly permitted.
  • Fraudulent or abusive use of promotional codes may result in forfeiture of the discount and termination of your Account.

9. Referral Program

Hanux Learning operates a referral program through which existing learners may refer new learners. Referral rewards, eligibility criteria, and conditions are governed by the specific terms of the referral program in effect at the time. By participating, you confirm that you have obtained the consent of the referred individual before sharing their contact information with us. Hanux Learning reserves the right to modify or terminate the referral program at any time.

10. Training Schedules and Modifications

Training schedules are subject to instructor availability, minimum enrollment requirements, operational considerations, and technical circumstances beyond our control. Hanux Learning reserves the right to:

  • Reschedule classes or sessions.
  • Replace instructors with equally qualified faculty.
  • Modify training formats (e.g., from in-person to virtual or vice versa).
  • Adjust delivery timelines or session durations.
  • Cancel a batch or cohort if minimum enrollment is not achieved (in which case learners will be offered an alternate cohort or, at our discretion, a refund under Section 7.2).

Reasonable advance notice will be provided wherever practicable.

11. Recording of Live Sessions

Notice and Consent: Live instructor-led sessions, workshops, and group classes may be recorded by Hanux Learning for the purposes of (i) making recordings available to enrolled learners for revision, (ii) quality assurance and instructor training, and (iii) creating future educational content with personally identifiable elements removed or anonymized.

By joining a live session, you acknowledge and consent to such recording. If you do not wish to be recorded, please keep your camera and microphone off and refrain from active participation.

Unauthorized Recording Prohibited: Learners are strictly prohibited from recording, screen-capturing, screenshotting, photographing, transcribing, or otherwise reproducing any session, content, or materials without the express written consent of Hanux Learning. Violation may result in immediate termination of your Account, legal action under applicable copyright and privacy laws (including, in India, Section 66E of the Information Technology Act, 2000), and forfeiture of all amounts paid.

12. No Employment, Salary, or Exam Outcome Guarantee

HANUX LEARNING MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, REGARDING EMPLOYMENT OUTCOMES, HIRING DECISIONS, SALARY INCREASES, PROMOTIONS, INTERVIEW CALLS, JOB PLACEMENTS, CERTIFICATION EXAM SUCCESS, OR ANY SPECIFIC CAREER RESULT.

Specifically, Hanux Learning does not guarantee:

  • Employment, hiring, or job placement of any kind.
  • Job interviews or recruiter responses.
  • Salary increases, raises, or promotions.
  • Success in any certification or qualifying examination.
  • Approval of any certification eligibility application.
  • Any specific timeframe for career outcomes.

Any career assistance, resume support, profile marketing, or job search assistance is provided on a “best-effort” basis. Employment decisions are made solely by hiring organizations, and certification outcomes are determined exclusively by the respective certification bodies.

US Users — FTC Disclaimer: Individual results vary based on numerous factors, including but not limited to the learner's prior experience, market conditions, geographic location, effort invested, and external economic factors. Any case studies, testimonials, or success stories presented are individual experiences and are not representative of typical or expected results.

13. Certification Disclaimer and Trademark Attribution

Independent Training Provider: Hanux Learning is an independent training provider. Unless explicitly stated in writing, Hanux Learning is not affiliated with, sponsored by, endorsed by, or acting on behalf of any certification body, including but not limited to:

  • Project Management Institute, Inc. (PMI)® — owners of PMP®, CAPM®, PMI-ACP®.
  • ISACA® — owners of CISA®, CISM®, CRISC®.
  • PeopleCert / AXELOS — owners of ITIL®, PRINCE2®.
  • Amazon Web Services, Inc. — owners of the AWS Certified™ family.
  • Microsoft Corporation — owners of the Microsoft Certified™ family.
  • Google LLC — owners of the Google Cloud™ certifications.
  • Scrum Alliance® — owners of CSM®, CSPO®.
  • Scrum.org — owners of PSM™, PSPO™.
  • (ISC)²® — owners of CISSP®.
  • CompTIA, Inc. — owners of CompTIA Security+®, A+®, Network+®.

Certification decisions, exam administration, exam results, eligibility approvals, and credential issuance are controlled exclusively by the respective certification bodies. Hanux Learning has no influence over such decisions.

Trademark Notice: All product names, logos, brands, trademarks, and registered trademarks are the property of their respective owners. Use of these names, logos, or brands does not imply endorsement. PMP®, CAPM®, PMI-ACP®, ITIL®, PRINCE2®, CSM®, CISSP®, AWS®, Azure®, and other marks are referenced for identification purposes only.

14. Anti-Cheating and Exam Integrity

Hanux Learning has zero tolerance for cheating, plagiarism, or any form of academic dishonesty. Prohibited conduct includes, but is not limited to:

  • Sharing assessment questions, answers, or exam content with any third party.
  • Using unauthorized aids, AI tools, or external assistance during proctored assessments.
  • Impersonating another individual during an assessment, or having another individual take an assessment on your behalf.
  • Soliciting or distributing official certification exam content (i.e., “brain dumps”), which constitutes a violation of the certification body's terms.

Violation may result in immediate termination of your Account, invalidation of any earned credentials issued by Hanux Learning, reporting to the relevant certification body, and forfeiture of all amounts paid.

15. Intellectual Property and License Grant

All materials provided by Hanux Learning — including but not limited to training content, videos, presentations, documents, practice questions, study guides, assessments, source code, website content, designs, logos, and trademarks — remain the exclusive intellectual property of Hanux Learning or their respective owners. These materials are protected by Indian, United States, and international copyright, trademark, and other intellectual property laws.

15.1 Limited License Granted to You

Subject to your full compliance with these Terms and payment of applicable fees, Hanux Learning grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the purchased Services and Content for your own individual, non-commercial educational purposes.

15.2 Prohibited Uses

You may NOT, without prior written consent from Hanux Learning:

  • Reproduce, copy, duplicate, or republish any Content.
  • Distribute, share, post, or upload Content on any third-party platform, social media, file-sharing service, or messaging app (including WhatsApp, Telegram, Discord, or similar).
  • Sell, rent, lease, sublicense, or commercially exploit any Content.
  • Modify, translate, adapt, or create derivative works of the Content.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
  • Reverse engineer, decompile, or disassemble any software or platform components.
  • Circumvent or attempt to circumvent any digital rights management, watermarking, or access-control technology.
  • Use the Content or Services to develop competing products or services.

16. User Conduct

When using our Services, you agree NOT to:

  • Misuse the platform, including transmitting viruses, malware, or any code intended to cause harm.
  • Share Account credentials with, or grant Account access to, any third party.
  • Upload, post, or transmit unlawful, harmful, defamatory, obscene, or harassing content.
  • Violate any applicable local, national, or international law or regulation.
  • Infringe the intellectual property rights of Hanux Learning, instructors, or any third party.
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
  • Engage in any form of harassment, hate speech, discrimination, or abusive conduct toward instructors, staff, or other learners.
  • Use bots, scrapers, or automated tools to access or extract data from the platform.
  • Misrepresent your identity, affiliation, or eligibility.

Violation of this section may result in immediate suspension or termination of your Account without refund, and may expose you to civil or criminal liability.

17. Copyright Infringement — DMCA Notice (US Users)

Hanux Learning respects the intellectual property of others. If you believe that any Content on our Services infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, by providing our Designated Agent with the following information in writing:

  • A physical or electronic signature of the copyright owner or person authorized to act on their behalf.
  • Identification of the copyrighted work claimed to be infringed.
  • Identification of the allegedly infringing material and information sufficient to locate it.
  • Your contact information (address, telephone number, and email).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

DMCA Designated Agent: Please send DMCA notices to dmca@hanux.org. We will respond to valid notices in accordance with the DMCA. Repeat infringers will have their Accounts terminated.

18. Third-Party Services and Links

Our Services may integrate with or contain links to third-party platforms, including learning management systems, video conferencing tools, payment processors, certification providers, and websites. Hanux Learning is not responsible for the availability, accuracy, content, security, or practices of any third-party services. Your use of third-party services is governed by their own terms and policies, and Hanux Learning shall have no liability for any third-party outage, error, or action.

19. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

20. Electronic Communications Consent

By creating an Account or otherwise using our Services, you consent to receive electronic communications from Hanux Learning. You agree that all agreements, notices, disclosures, billing statements, and other communications we provide to you electronically — by email, SMS, in-platform messages, or on our Website — satisfy any legal requirement that such communications be in writing. This consent extends to electronic signatures and electronic records under the U.S. E-SIGN Act, the Indian Information Technology Act, 2000, and equivalent laws.

21. Suspension and Termination

Hanux Learning reserves the right, in its sole discretion, to suspend or terminate your access to the Services, with or without notice, if you:

  • Violate any provision of these Terms.
  • Engage in fraudulent, abusive, or illegal activity.
  • Misuse Hanux Learning resources, content, or staff time.
  • Harass instructors, staff, or other learners.
  • Initiate unjustified chargebacks or payment disputes.
  • Engage in conduct that, in our reasonable judgment, harms or threatens to harm Hanux Learning, its users, or its reputation.

Upon termination, your right to access the Services ceases immediately, no refund will be issued, and you remain liable for any amounts owed. Provisions intended to survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall continue in effect.

22. Disclaimer of Warranties and Limitation of Liability

22.1 Disclaimer of Warranties

OUR SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HANUX LEARNING DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OPERATION.

22.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HANUX LEARNING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF CAREER OUTCOMES, LOSS OF CERTIFICATION OUTCOMES, LOSS OF EMPLOYMENT, OR SERVICE INTERRUPTIONS CAUSED BY THIRD PARTIES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF HANUX LEARNING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HANUX LEARNING'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE ACTUALLY PAID TO HANUX LEARNING FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

23. Indemnification

You agree to indemnify, defend, and hold harmless Hanux Learning, its parent, affiliates, officers, directors, employees, instructors, contractors, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or our Privacy Policy.
  • Your violation of any applicable law or the rights of any third party.
  • Your misuse of the Services or Content.
  • Any content you submit, post, or transmit through the Services.
  • Your negligence or willful misconduct.

24. Force Majeure

Hanux Learning shall not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government action, war, terrorism, civil unrest, strikes, labor disputes, internet or telecommunications failures, cyberattacks, power outages, or third-party service interruptions (“Force Majeure Event”). In the event of a Force Majeure Event, our obligations shall be suspended for the duration of the event, and we will use reasonable efforts to resume performance as soon as practicable.

25. Export Control and Sanctions Compliance

You represent and warrant that:

  • You are not located in, or a national or resident of, any country subject to a US Government embargo or designated as a “terrorist supporting” country.
  • You are not listed on any US Government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals (SDN) List.
  • You will not access or use the Services in violation of any applicable export control or sanctions law of India, the United States, the European Union, or any other applicable jurisdiction.

26. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the following dual-jurisdiction framework, based on the User's primary place of residence at the time of enrollment:

26.1 For Users Located in India (and the Rest of the World, except USA & Canada)

  • Governing Law: The laws of India, without regard to its conflict of laws principles.
  • Exclusive Jurisdiction: The competent courts located in New Delhi, India, shall have exclusive jurisdiction over any dispute, subject to the arbitration provisions in Section 27 where applicable.

26.2 For Users Located in the United States or Canada

  • Governing Law: The laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles.
  • Venue: Subject to the binding arbitration provisions in Section 27, the state and federal courts located in Sheridan County, Wyoming, shall have exclusive jurisdiction over any dispute that is not subject to arbitration.

27. Dispute Resolution — Binding Arbitration and Class Action Waiver (US & Canada Users)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

27.1 Agreement to Arbitrate

If you are a User located in the United States or Canada, you and Hanux Learning agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”) shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth below.

27.2 Informal Resolution First

Before commencing arbitration, you agree to first contact us at legal@hanux.org and attempt in good faith to resolve the Dispute informally for a period of at least sixty (60) days.

27.3 Arbitration Rules and Venue

The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Sheridan County, Wyoming, or, at your election, in your home jurisdiction within the United States or Canada, or by videoconference. The arbitrator's decision shall be final and binding.

27.4 Class Action Waiver

YOU AND HANUX LEARNING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

27.5 Exceptions to Arbitration

Notwithstanding the above, either party may bring an action in small-claims court for disputes within the court's jurisdiction, and either party may seek injunctive relief in court to protect intellectual property rights.

27.6 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@hanux.org within thirty (30) days of accepting these Terms. The notice must include your name, email address, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

28. Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

29. Entire Agreement

Hanux Learning may update these Terms at any time. Updated versions will be published on our Website with a revised “Last Updated” date and, where the change is material, we will provide reasonable advance notice (e.g., by email or in-platform notification). Your continued use of the Services following the effective date of the revised Terms constitutes your acceptance of the changes.
